Tax Law & Automation (TLA) has an open position for an attorney with at least 5 years of tax law experience who is ready to take ownership of complex client matters and expand their expertise across the full spectrum of tax practice. This role requires 1,800 billable hours per year.
Unlike firms that focus exclusively on compliance, controversy, or a narrow specialty, TLA serves as outside tax counsel to business owners and small and middle-market companies throughout the United States. Our work spans M&A tax counsel, entity structuring and restructuring, transaction planning, selective tax remediation services, tax studies and opinion letters, and general tax advisory.
This is a special opportunity to work directly alongside the Managing Partner, helping clients and business owners navigate sophisticated tax issues while rapidly developing practical, real-world judgment. The right candidate will receive meaningful client exposure, substantial responsibility, and close access to senior-level strategy and mentorship.

What Makes This Role Different
Accelerated Learning: You will work directly with the Managing Partner on complex matters involving M&A transactions, entity restructuring, tax planning, tax controversy, and strategic advisory work. True Transactional Tax Experience: You will regularly work on transaction structuring, reorganizations, acquisition planning, contract review, tax planning, and financial analysis.

Clients turn to us when transactions become complicated, structures need to be optimized, or tax risks require strategic attention.
Advise on Complex Tax Matters
Serve as tax counsel on mergers, acquisitions, restructurings, reorganizations, and other business transactions
Analyze and design entity structures for business owners and closely held companies
Draft and review transactional documents with a focus on tax consequences and risk allocation
Prepare tax memoranda, legal analyses, tax studies, and opinion letters involving complex tax issues
Advise clients regarding federal, state, and local tax implications of proposed transactions
Collaborate with CPAs, financial advisors, valuation professionals, corporate counsel, and other specialists
Own High-Level Client Matters
Work directly with business owners, executives, and their advisory teams
Lead client meetings and provide practical guidance on complex tax issues
Manage matters from initial analysis through implementation or resolution
Develop strategic solutions tailored to each client’s business objectives
Balance technical tax analysis with clear, actionable advice
Required
Juris Doctor (J.D.) degree from an accredited law school
Licensed and in good standing with at least one State Bar
Minimum of 5 years of tax law experience
Meaningful experience advising clients on transactional tax matters
Experience with one or more of the following: M&A transactions, entity structuring and restructuring, partnership taxation, corporate taxation, tax planning, or tax controversy
Strongly Preferred
Experience drafting tax memoranda, tax studies, or opinion letters
Experience drafting, reviewing, or negotiating transaction documents
LL.M. in Taxation

Compensation
$200,000 - $400,000 yearly
